Vendor Registration

This Agreement defines the terms and conditions under which the Vendor is authorized to list, market, and sell products on Willingrow Shopping.

BETWEEN: M/s Willingrow Shopping
AND: The registering Vendor

This Agreement defines the terms and conditions under which the Vendor is authorized to list, market, and sell products on Willingrow Shopping. The purpose is to establish a professional business relationship while ensuring quality service, secure transactions, and customer satisfaction.

Willingrow Shopping hereby grants the Vendor a non-exclusive, revocable, and limited authorization to use the platform for listing and selling approved products. This does not create any partnership, employment, or ownership relationship. Willingrow Shopping reserves the right to approve, reject, suspend, or remove any Vendor account.

3.1 Services Provided: Platform access, product listing & management, order management dashboard, customer order notifications, payment facilitation, promotional opportunities, customer support coordination, logistics/shipping support.

3.2 Vendor Operational Responsibilities:

• Maintain accurate inventory levels
• Ensure timely packing and dispatch of orders
• Coordinate dispatches according to Willingrow Shopping shipping arrangements
• Ensure products are safely packed before dispatch
• Share dispatch proof (video or clear photographs) before handing over to courier

4.1 Product Compliance: All listed products must be lawful, genuine, and authentic. No counterfeit, illegal, harmful, or prohibited products. Restricted categories require prior approval.

4.2 Listing Accuracy: Vendor is fully responsible for product title, description, pricing, specifications, images, warranty/return details, and stock status. Misleading information may result in penalties or account suspension.

4.3 Order Fulfillment & Dispatch: Process and dispatch orders same day. Maintain stock, ensure proper packaging, avoid delays, provide dispatch proof. Repeated failures affect performance ratings.

5.1 Vendor sets product pricing independently (must remain fair and transparent).

5.2 Willingrow Shopping charges a commission percentage on each successful sale.

5.3 Additional Charges may apply: featured promotions, advertising, logistics/shipping fees, payment gateway charges, return handling fees.

6.1 Payments released within the agreed number of working days after successful delivery and verification.

6.2 Deductions may include: commission, refund amounts, return handling charges, penalties, shipping charges.

6.3 Payment disputes must be reported within 7 days.

Vendor is responsible for defective, damaged, misrepresented, or incorrectly delivered products. Vendor must comply with Willingrow Shopping return and refund policies. Refunds due to Vendor negligence may result in deductions or penalties.

The Vendor shall NOT:

• Sell illegal, counterfeit, copied, or unauthorized products
• Commit fraud or deceptive business practices
• Misuse customer information or personal data
• Attempt to bypass Willingrow Shopping transactions
• Direct customers to external payment methods
• Manipulate reviews, ratings, or sales records

Violation may result in immediate account suspension or legal action.

Vendor grants Willingrow Shopping the right to use product images, logos, descriptions, and videos for platform display, advertising, social media, and marketing. Ownership of trademarks remains with the Vendor.

Customer data obtained through the platform must remain strictly confidential. Vendor shall not share data with third parties, use it for unauthorized marketing, or contact customers outside official Willingrow Shopping procedures. Misuse may result in legal action and permanent termination.

Willingrow Shopping monitors order completion rates, delivery timelines, product quality, customer complaints, return/cancellation ratios, and overall service standards. Poor performance may result in listing removal, restrictions, or account suspension.

12.1 Agreement valid for one (1) year from signing date, renewable upon mutual agreement.

12.2 Either party may terminate with 30 days written notice.

12.3 Immediate suspension/termination for: fraudulent activity, counterfeit products, repeated complaints, serious policy violations, or illegal activities.

Vendor is solely responsible for product-related claims, legal compliance, intellectual property violations, and customer disputes. Willingrow Shopping is not liable for indirect losses, business interruptions, or Vendor operational failures.

Neither party is liable for delays caused by natural disasters, government restrictions, internet/server failures, strikes, war, civil disturbances, or pandemic-related disruptions.

Willingrow Shopping may update or modify these terms at any time. Continued use of the platform constitutes acceptance of the revised terms.
